The Site is operated under the brand Vai (“Vai Jewelry,” “Vai,” “we,” “us,” or “our”) by Celestial Diamond Company Limited (Company No. 71420459-000-12-25-1) (the “Company”), a company registered in Hong Kong with its registered address at:

1. ACCEPTANCE OF TERMS; CHANGES

By accessing or using the Site, creating an account, subscribing to our mailing list, or placing an order, you agree to be bound by these Terms and by any policies referenced in these Terms (including our Privacy Policy), each incorporated by reference.

We may update these Terms from time to time. When we do, we will update the “Last Updated” date above and post the updated Terms on the Site. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

2. ELIGIBILITY

By using the Site, you represent and warrant that:

  • you are at least 18 years old (or the age of majority in your jurisdiction);

3. ACCOUNTS; SECURITY

We may suspend or terminate accounts, refuse service, or cancel orders where reasonably necessary, including for suspected fraud, security issues, or repeated violations of these Terms, subject to applicable law.

4. PRODUCTS; DESCRIPTIONS; MATERIALS

4.1 Product information and variations

We aim to present product information accurately. However:

  • Colors/appearance may vary due to monitor and device settings, lighting, and photography;
  • Measurements and weights are approximate and may vary slightly between pieces; and
  • some materials may show natural or manufacturing variations.

Our products may include fashion jewelry, including items made from silver and products featuring moissanite. Materials are described on each product page.

4.2 Availability

All products are subject to availability. We may limit quantities, discontinue products, or change product offerings at any time.

5. PRICING; CURRENCY; TAXES; ERRORS

5.1 Pricing and currency

Prices are shown on the Site in the currency indicated at checkout. Prices may change without notice.

5.2 Pricing errors

If a product is listed at an incorrect price due to an error, we may cancel the order (even after an order confirmation email), issue a refund, and/or contact you for next steps.

5.3 Taxes and import charges (Hong Kong and United States)

Depending on your shipping destination and applicable law, taxes may apply and may be calculated at checkout where supported.

For shipments to the United States, you may be responsible for customs duties, import taxes, brokerage/clearance fees, and any other charges imposed by authorities or carriers, unless we expressly state otherwise in writing at checkout. If you refuse delivery due to unpaid import charges, we may deduct any costs charged to us (including return shipping and carrier fees) from any refund where permitted by law.

6. ORDER PROCESS; CONTRACT FORMATION; CANCELLATIONS

6.1 Invitation to purchase

Product listings on the Site are an invitation for you to place an order and do not constitute a binding offer.

6.2 Order acceptance

Your order is an offer to purchase. We accept your order when we confirm dispatch/shipment (or otherwise expressly confirm acceptance). Automated order confirmation emails generally acknowledge receipt of your order but do not necessarily mean your order has been accepted.

6.3 Our right to refuse or cancel

We may refuse or cancel any order where reasonably necessary, including for:

  • product unavailability;
  • suspected fraud or unauthorized transactions;
  • errors in pricing or product information; or
  • shipping restrictions or inability to deliver to the provided address.

If we cancel an order after payment has been processed, we will issue a refund to the original payment method.

7. PAYMENT

We accept payment through Shopify Payments (which may include Shop Pay, Visa, Mastercard, American Express, UnionPay, Apple Pay, and Google Pay, depending on your location and device) and PayPal.

By placing an order, you authorize us and our payment processors to charge the total amount due, including applicable taxes and shipping fees.

Payment processing is handled by third-party providers and is subject to their terms and privacy practices.

8. SHIPPING; DELIVERY; RISK OF LOSS; UNINSURED SHIPMENTS

8.1 Shipping charges and delivery estimates

Shipping costs and estimated delivery times are shown at checkout. Delivery estimates are not guarantees and may be affected by factors outside our control (including carrier delays, customs processing, and weather events).

8.2 Address accuracy

You are responsible for providing an accurate and complete shipping address. If a package is returned to us due to an incorrect or incomplete address provided by you, we may require you to pay additional shipping costs to re-ship.

8.3 Risk of loss

To the extent permitted by law, risk of loss passes to you upon delivery to the carrier. However, if applicable law in your jurisdiction requires risk to remain with the seller until delivery to you (for example, certain consumer laws), we will comply with that law.

8.4 Uninsured shipments

Shipments are not insured. To the extent permitted by law, we are not responsible for losses occurring after the carrier has taken possession of the package. If your package is missing or delayed, please contact us promptly at info@celestialdiamond.co so we can assist with carrier inquiries where possible.

9. RETURNS; EXCHANGES; REFUNDS

9.1 Return window

Eligible items must be returned within 30 days of delivery.

9.2 Return shipping and shipping fees

  • Customers are responsible for return shipping costs.
  • Outbound/delivery shipping fees are non-refundable and may be deducted from the refund.
  • If you believe a return is due to our error (e.g., wrong item shipped, defective item on arrival), contact us at info@celestialdiamond.co before returning the item. If we determine the issue is on our end, we may cover return shipping or provide an alternate remedy, subject to applicable law.

9.3 Non-returnable / non-refundable items

To the extent permitted by law, the following are non-returnable and non-refundable:

  • Sale items
  • Gift cards
  • Delivery/shipping fees
  • Custom/personalized items

9.4 Earrings / hygiene notice

For hygiene and safety reasons, certain items—including earrings and other pierced jewelry—may be non-returnable unless they are defective or returned in unopened/unused condition to the extent permitted by law.

9.5 No restocking fee

We do not charge a restocking fee.

10. MATERIAL SENSITIVITIES; ALLERGIES

Materials are listed on each product page. You are responsible for reviewing materials before purchasing. If you have known sensitivities or allergies (e.g., to nickel), consult a medical professional prior to use and contact us with questions.

To the maximum extent permitted by law, we are not responsible for allergic reactions or sensitivities where materials were accurately disclosed and the product was not defective.

11. INTELLECTUAL PROPERTY

All intellectual property rights in and to the Site and its content (including the Vai name and logo, product photographs, text, graphics, and the selection and arrangement of content) are owned by the Company or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, revocable, non-transferable license to access and use the Site for personal, non-commercial shopping purposes. You may not copy, reproduce, scrape, distribute, publicly display, or exploit any Site content without our prior written consent.

12. USER-GENERATED CONTENT; SOCIAL MEDIA

If you tag us, mention us, or use our hashtags and your content is public, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, and adapt such content for marketing and promotional purposes (including on our Site and social channels).

You represent and warrant that you own or have the necessary rights to grant this license and have obtained consent from any individuals appearing in the content.

If you want us to remove reposted content, contact info@celestialdiamond.co and we will make reasonable efforts to comply.

13. PROHIBITED ACTIVITIES

You agree not to:

  • violate applicable laws or regulations;
  • infringe intellectual property, privacy, or other rights;
  • upload or transmit malware or harmful code;
  • attempt to gain unauthorized access to the Site or related systems;
  • interfere with the Site’s security or operation; or
  • engage in abusive, deceptive, or harmful conduct.

14. THIRD-PARTY SERVICES; LINKS

The Site may link to or integrate with third-party services (including Shopify, payment processors, shipping carriers, and social media). We do not control and are not responsible for third-party services, websites, or their terms or privacy practices. Your use of third-party services may be governed by their own terms.

15. DISCLAIMERS

To the maximum extent permitted by law, the Site and all products are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties or consumer guarantees. In those jurisdictions, these disclaimers apply only to the extent permitted by law.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or purchase/use of products.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Site, products, or these Terms will not exceed the amount you paid for the product giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law (including for fraud, willful misconduct, or death/personal injury caused by negligence where such limitation is prohibited).

17. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify, defend, and hold harmless the Company from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your unlawful use of the Site, your breach of these Terms, or your infringement of third-party rights.

This indemnity does not apply to the extent a claim is caused by our negligence or misconduct, and it does not affect non-waivable consumer rights under applicable law.

18. TERMINATION

We may suspend or terminate your access to the Site or your account where reasonably necessary, including to protect the Site, our business, or other users, or in response to suspected fraud, security issues, or repeated violations of these Terms.

Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

19. GOVERNING LAW; JURISDICTION

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

Subject to mandatory consumer protection laws that may apply in your jurisdiction, you agree that the courts of Hong Kong will have exclusive jurisdiction over disputes arising out of or relating to these Terms, the Site, or products purchased through the Site.

20. ELECTRONIC COMMUNICATIONS

You consent to receive communications from us electronically (for example, by email or through the Site). Electronic communications satisfy any legal requirement that such communications be in writing where permitted by law.
